Version 2.4 — Effective July 8, 2026

 🔑 TL;DR: Create an account on trag.studio to get your early-bird status. The app runs locally on your PC — you own what you create. The Pro license is a one-time payment of $200 (early-birds get it at $170). No subscriptions. No cloud lock-in.

1. Definitions

« Software » — the Trag Studio desktop application, published by Hugues LLC.
« Site » — the website accessible at trag.studio.
« User » or « you » — any person accessing the Site and/or using the Software.
« Early-bird » — a User who created an account on the Site before the public launch of the Pro version.
« Pro version » — the premium tier unlocking Video and Audio creation features.
« Outputs » — any images, videos, audio, or other content generated using the Software.

2. Acceptance

By accessing the Site or creating an account, you accept these Terms in full. If you do not agree with any part of these Terms, do not use the Site or the Software.

We may update these Terms from time to time. Material changes will be communicated by email and/or a notice on the Site. Continued use after changes constitutes acceptance.

3. Account creation

3.1 Registration

Creating an account on the Site (via email, Google, or Apple) gives you access to the free features of Trag Studio and, if you register before the public launch, the early-bird status.

3.2 Your responsibilities

You must provide accurate and complete information.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity under your account.
You must be at least 16 years old to create an account.

3.3 One account

The account created on the Site is the same account used to sign into the Software. No duplicate registration is needed.

4. Early-bird status

4.1 Eligibility

Users who create an account on trag.studio before the public launch of the Pro version automatically receive the « early-bird » status.

4.2 Benefits

This status guarantees:

A preferential price of $170 (instead of $200) on the Pro lifetime license
This price lock is valid for a limited time after launch (at least 30 days)
Early-bird license holders may receive exclusive updates and priority support during the launch period

4.3 Conditions

Early-bird status is personal and non-transferable
Creating multiple accounts to abuse the early-bird offer is prohibited
We reserve the right to modify or terminate the early-bird program at any time; already-acquired status will be honored

5. Free vs Pro version

5.1 Free version

The free version gives you unlimited access to Image generation (Text-to-Image, Image-to-Image, Inpainting, Upscale, Face Swap, ControlNet) — forever, no quotas.

5.2 Pro version

The Pro version unlocks Video (Text-to-Video, Image-to-Video, Lip Sync, Motion Transfer) and Audio (Text-to-Music, Audio-to-Audio, Voice Cloning, TTS, Stem Separation) features.

5.3 License

The Pro license is:

Lifetime — pay once, use forever. No subscription.
Per-user, multi-device — one license covers up to 3 devices active simultaneously. If you activate a 4th, the oldest device is automatically deactivated. Upgrade your hardware freely — your license follows you.
Personal — non-exclusive, non-transferable between users.
Verified via hardware fingerprint (hashed CPU+GPU+motherboard). No always-online DRM.

6. Payments, refunds & billing

6.1 Pricing

Pro license public price: $200 USD (excluding applicable taxes)
Early-bird price: $170 USD
All payments are processed securely by Lemon Squeezy, our Merchant of Record
We never see or store your full payment card details

6.2 Refund policy

We offer a 14-day money-back guarantee from the date of purchase, no questions asked. To request a refund:

Email hello@trag.studio with your order reference
Refunds are processed within 5-10 business days
Your Pro license is deactivated upon refund

This refund policy does not affect your statutory rights under applicable consumer protection laws.

7. Intellectual property

7.1 What we own

The Site, the Software, its interface, its name « Trag Studio », its logo, and all related branding are the exclusive property of Hugues LLC, protected by copyright, trademark, and other intellectual property laws.

7.2 What you own

All Outputs (images, videos, audio, and other content you generate using the Software) are your property. Hugues LLC makes no claim of ownership over your Outputs. You are free to use them for any purpose — personal, commercial, or otherwise — subject to:

The licenses of the underlying open-source AI models used by the Software. These models may have their own terms regarding commercial use.
Applicable laws (you are responsible for ensuring your Outputs do not infringe third-party rights).

8. Newsletter & communications

8.1 Newsletter

By subscribing to the newsletter on the Site, you agree to receive commercial communications from us. You may unsubscribe at any time via the link in each email.

8.2 Launch communications

Early-birds will receive emails relating to the launch (sneak peeks, launch date, preferential price window). These are part of the early-bird status and are separate from the marketing newsletter.

9. Prohibited uses

You agree not to:

Use the Site or Software for any illegal purpose or in violation of any applicable law
Generate content that is unlawful, defamatory, harassing, or infringing on third-party rights
Attempt to gain unauthorized access to the Site, its servers, or other users' accounts
Use the Site to distribute malware, viruses, or harmful code
Reverse-engineer, decompile, or disassemble the Software beyond what applicable law expressly permits
Create multiple accounts to abuse the early-bird offer
Resell, rent, or sublicense your license, account, or early-bird status
Use the Software to operate a service bureau or automated generation-as-a-service without a separate commercial agreement

9.1 Content safeguards & your responsibility

The Software applies content safeguards and is configured to block sexually explicit content and uses harmful to a general-public audience. Because generation runs locally, Trag Studio does not review your creations: you are solely responsible for the content you generate and for using it lawfully.

9.2 Indemnification

You agree to indemnify, defend and hold harmless HUGUES LLC, its managers and partners against any claim, liability, loss or expense (including reasonable legal fees) arising from (a) your use of the Site or Software, (b) any content you generate, or (c) your breach of these Terms or of any applicable law.

9.3 Creator & affiliate disclosure

If you join the Creator or affiliate program, you must clearly and conspicuously disclose your sponsored or affiliate relationship wherever you promote Trag Studio, in accordance with applicable law (e.g., FTC endorsement guidelines).

10. Third-party components

The Software integrates open-source AI engines. These run locally on your machine. We do not control, endorse, or assume responsibility for:

The content these models may generate
Their licensing terms (please review model licenses before commercial use)
Updates or availability of third-party model repositories

The full list of open-source components bundled with the Software, together with their respective licenses and attributions, is provided in our Open-Source Disclaimer. By accepting these Terms, you acknowledge and accept that Disclaimer.

11. Limitation of liability

11.1 « As-Is » basis

The Site and Software are provided « as is » and « as available ». We do not guarantee uninterrupted or error-free operation.

11.2 No liability for outputs

You acknowledge that AI-generated content may be unpredictable. You assume full responsibility for the Outputs you generate, including their legality, accuracy, and fitness for purpose.

11.3 Liability cap

To the fullest extent permitted by law, Hugues LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Software. Our total liability is limited to the amount you paid us for the Pro license (if any) in the 12 months preceding the claim.

11.4 Local processing

You expressly acknowledge that content generation runs entirely locally on your machine, without supervision or control by Hugues LLC. We are not responsible for the content you create.

12. Privacy

Your use of the Site and our processing of your personal data are governed by our Privacy Policy. By using the Site, you acknowledge that you have read and understood it.

13. Governing law & disputes

13.1 Governing law

These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

13.2 Dispute resolution

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming. Nothing in this section limits your rights under mandatory consumer protection laws of your country of residence.

13.3 Informal resolution

Before filing any formal claim, we encourage you to contact us at hello@trag.studio. We'll do our best to resolve the issue informally and quickly.

14. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Software ceases. You may terminate your account at any time via your account panel or by contacting hello@trag.studio.

15. General provisions

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
No waiver: Our failure to enforce any right does not constitute a waiver.
Entire agreement: These Terms (together with the Privacy Policy, the Open-Source Disclaimer, and the Software's EULA) constitute the entire agreement between you and Hugues LLC.
Assignment: You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
